VSM MedTech Has Entered Into A Transaction To Acquire CTF Systems Inc., CTF's MEG Technology Unveils Mystery of Human Brain

VANCOUVER, BRITISH COLUMBIA---VSM MedTech has entered into a non-binding Letter of Intent to purchase the assets and intellectual property of CTF Systems Inc., a privately held company, recently named number fifty-six in British Columbia's Top 100 Technology Companies. CTF is involved in the development, manufacture and worldwide sale of advanced systems used in a range of neurological applications including pre-surgical planning and functional mapping of adults and children.

CTF's proprietary leading edge technologies are based on MEG (magneto-encephalography), which gives precise information on the brain's function including touch, speech, vision, hearing and motor skills. This technology can be used in the assessment of tumors, psychological disorders, trauma and epilepsy. Unlike other brain imaging technologies such as PET and MRI, CTF's systems are completely passive and pose no risk to the patient.

CTF has also introduced the world's first dedicated fetal monitoring system, which accurately measures brain and heart activity in utero. Applications for this technology aid in the treatment of high-risk pregnancy, prediction of birth defects and premature labour.

Subject to successful completion of due diligence, the Company anticipates entering into a definitive agreement by January 31, 2001. The Company will release more information as it becomes available. For further details on CTF visit their website at www.ctf.com .
